Version 1.0

1. Who we are

These Terms of Service apply to the website and services of DecarbOS Intelligence (we, us, DecarbOS), a company based in the United Arab Emirates (UAE). DecarbOS is operated by Maria Helen as Chief Executive Officer (CEO). We have no offices outside the UAE and we provide our services through this website only. You can contact us at info@decarbosintelligence.ae.

By creating an account, uploading data or paying for a report, you agree to these Terms on behalf of the business you represent.

2. What we provide

  • Emissions report: a Scope 1, Scope 2 and Scope 3 greenhouse gas emissions report prepared from the data and bills you provide, set out in the order used by the UAE Ministry of Climate Change and Environment (MOCCAE) Monitoring, Reporting and Verification (MRV) portal, so that you can enter or upload the figures yourself.
  • Physical climate risk report: a report on the physical climate risks (for example heat, flood and water stress) at the locations you give us, using satellite and public datasets.
DecarbOS is a software and report preparation service. We are not consultants. We do not give legal advice, audit, assurance or verification. We provide Scope 1, Scope 2 and Scope 3 reporting and the Physical Climate Risk Report only. Under Self-File you review the report and submit your own filing. Under the "We File For You" service, our named staff register your company on mrv.ae and submit the data there under the Letter of Authority you sign; we never ask for your password or use your UAE PASS, you remain responsible for the accuracy of the data you supply, and you may withdraw this authority at any time in writing.

3. Who can use the service

  • Only businesses and other organisations may register. The service is not offered to individual consumers.
  • DecarbOS currently serves organisations in the United Arab Emirates only.
  • The person who registers must have authority to bind the business to these Terms.

4. Your responsibilities

  • You are responsible for the accuracy and completeness of everything you enter or upload.
  • You confirm you have authority to upload the data and documents, and that utility bills and other documents belong to your business or that you have the right to use them.
  • You must tell us promptly if you find an error in data you provided.
  • You remain responsible for deciding whether and how to file with MOCCAE or any other authority, and for meeting your own legal obligations.

5. Accounts and security

  • Keep your password confidential. You are responsible for activity under your account.
  • Tell us immediately at info@decarbosintelligence.ae if you suspect unauthorised access.
  • We may suspend an account that is used in breach of these Terms or that puts the service or other clients at risk.

6. Pricing and payment

  • Prices are one yearly fee per site, by client type and service, in UAE dirhams (AED), as shown on the Pricing page and on your order before you pay. 5% UAE Value Added Tax (VAT) is added, as set by the UAE VAT law (Federal Decree-Law No. 8 of 2017).
  • Physical Climate Risk reports have a fixed price in AED, shown before you pay.
  • You must pay the full price without deduction or set-off.
  • Access to the report unlocks only after we confirm your payment.
  • We issue an invoice for each payment. Keep your business details in your account up to date.

7. Delivery

We deliver the report as a Portable Document Format (PDF) file in your account, and we send a copy by email. Delivery times shown on the site are estimates. Delivery depends on you providing complete and readable data.

8. Refunds

  • A report is a digital good prepared specifically from your data. Once the report has been generated, we do not give a refund, except where the law requires it or where we fail to deliver the report.
  • If your data is incomplete, we may offer a partial-data report. We agree this with you before you pay, and the agreed scope is what you pay for.
  • If we fail to deliver, we will either deliver the report or refund what you paid for it.

9. Estimates and entries marked not available

Where data is missing we may use a stated estimate, or we may mark an entry as not available. Estimates and not available entries are clearly labelled in the report. You decide whether to supply better data before you file.

10. Verifier pack

You may create a read-only link that lets your independent verifier or another person you choose see the report and its supporting evidence. You control this link. It works only if you turn it on, and you can revoke it at any time. You are responsible for who you share it with.

11. Data retention

  • We keep your reports and supporting data for 7 years in systems hosted in the UAE. The climate law sets a minimum record-keeping period of 5 years (Federal Decree-Law No. 11 of 2024), and we keep data longer so that you can meet it.
  • After that period, or earlier if you ask us in writing, we delete your data, unless the law requires us to keep it. See our Privacy Policy for more.

12. Intellectual property

  • You keep all rights in the data and documents you provide. You give us permission to use them only to provide the service to you.
  • We keep all rights in the platform, report templates, software and emission factor library.
  • We license the finished report to you to use for your internal purposes and for your regulatory filings and dealings with verifiers. You may not resell the report or our templates.

13. Acceptable use

You must not:

  • upload unlawful content, malware, or data you have no right to use;
  • try to break, probe or overload the service, or access another client's data;
  • copy, scrape or reverse engineer our templates, factor library or software;
  • submit false or misleading data, or use the report to mislead a regulator or verifier.

14. Third-party and public data

Satellite and public datasets used in the climate report come from third parties. They are provided as is, with the source and a time stamp shown in the report. We do not control or guarantee their accuracy, completeness or availability.

15. Limitation of liability

  • To the maximum extent permitted by law, our total liability to you for any claim connected with a report is limited to the fees you actually paid for that report.
  • We are not liable for indirect or consequential loss, including loss of profit, revenue, contracts or reputation.
  • We are not liable for any fine or penalty imposed on you, for any decision of MOCCAE or any other regulator, or for errors in data you provided.
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under UAE law.

16. Force majeure

We are not responsible for delay or failure caused by events beyond our reasonable control, such as natural disasters, war, power or internet failure, cyber attack, government action or failure of third-party services. We will resume the service as soon as reasonably possible.

17. Governing law and courts

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of the Emirate of Dubai have jurisdiction over any dispute, subject to any rights you have that cannot be excluded by law. Where the law allows it, the Arabic text prevails in case of a difference in meaning.

Draft choice: the Dubai courts and the Arabic-prevails wording are draft choices that counsel must confirm before launch.

18. Changes to these Terms

We may update these Terms. We will show the new version number and date at the top of this page and, for material changes, tell account holders by email. Using the service after a change takes effect means you accept the new Terms. Changes do not affect reports you have already paid for.
